Your acceptance of the terms and conditions

Your access to the Investor Centre site is subject to the terms and conditions set out below, along with notices, disclaimers and any other terms and conditions or statements contained on Investor Centre (together, the terms and conditions). By using the Investor Centre site, you agree to be subject to these terms and conditions. Any subsequent use of the Investor Centre site by you will also be subject to these terms and conditions as amended from time to time.

Computershare will give you notice of these amendments by publishing the amended terms and conditions on the Investor Centre website. You can cease using the Investor Centre site at any time.

The terms and conditions are available for review at all times on the Investor Centre website.

THESE TERMS AND CONDITIONS ARE LEGALLY BINDING. PLEASE READ THEM CAREFULLY.

About Investor Centre

Investor Centre allows you to view and update certain details of your holdings of securities where the register of holders of those securities is maintained by Computershare and the Issuer of those securities has permitted holders to view and update security holding details on Investor Centre. Accordingly, you may not be able to view or update information in respect of all of your security holdings using this service.

To view details of a single holding, you will need to confirm the Securityholder Reference Number (SRN) or Holder Identification Number (HIN) for that holding and your postcode.

To view more than one holding in your portfolio, you will need to register to obtain a user name and password.

To update the details of any security holding, you may need to register to obtain a user name and password for security reasons.

High value security-holdings may also be required to enter an access code, which will be sent by mail to your registered address, for security reasons.

For each of the holdings that you have included in your portfolio you will be able to provide or modify the following information:

You may also be able to give an instruction regarding your participation in a Dividend Reinvestment Plan (DRP) if such a plan is offered by an Issuer and provided that the Issuer has agreed with Computershare that instructions regarding participation in the DRP can be made through Investor Centre.

When you undertake any of the above using the facilities made available through Investor Centre, Computershare will take reasonable care to facilitate the recording of the information against the holdings you have nominated. However, Computershare does not guarantee that the tasks can be effected electronically. In particular, Computershare is not responsible for ensuring that any tasks have been completed effectively.

When registering with Investor Centre you will be asked to enter details of one of your holdings. The address of that holding will be used as the mailing address for any information that may need to be mailed to you.

Computershare has taken reasonable care in publishing the information available through Investor Centre but does not guarantee that the information is complete, accurate or current. In particular, Computershare is not responsible for:

The Investor Centre service is provided on the terms and on the understanding that Computershare and its directors, officers and employees are not responsible for the results of any actions taken or omissions made on the basis of information provided or purported to be provided by you or for any error in or omission from, that information.

Nothing in these terms and conditions operates to exclude, restrict or modify the application of any provision, the exercise of any right or remedy, or the imposition of any liability under the Competition and Consumer Act 2010 or any other applicable statute, where to do so would contravene that statute, or cause any part of these terms and conditions to be void (Non-excludable Conditions).

Subject to any Non-excludable Conditions, Computershare as well as each of its directors, officers and employees expressly disclaim all liability (including liability in negligence) and responsibility to any person (whether a reader of these terms and conditions or not) in respect of anything and of the consequences of anything done or omitted to be done by any such person arising out of or in reliance (whether wholly or partly) on any use of the facilities made available through the Investor Centre service including liability for loss or damage, which you or anyone else might suffer as a result of any incorrect, inaccurate or incomplete provision or recording of any information.

Market data and other information displayed on Investor Centre

With respect to any market data or other information that Computershare or any third party service provider displays on the Investor Centre site:

Privacy - Collection and Disclosure Statement

Personal information is collected through Investor Centre. Such information may include your address, e-mail address, tax file number and bank account details.

In accepting these terms and conditions, you warrant that you have previously been provided with a ‘Collection and Disclosure Statement’ or a ‘Personal Information Management Statement’ by Computershare, including on the Investor Centre website, setting out amongst other things the basis on which the personal information is collected, the primary purposes for which the information collected will be used, the parties to which the personal information may be disclosed and the manner in which you can gain access to the personal information held. Reference should be made to that ‘Collection and Disclosure Statement’ or that ‘Personal Information Management Statement’ for full details, available for review on the Investor Centre website.

Warranties, confirmations and undertakings

In accepting these terms and conditions and using Investor Centre you will be deemed to have given the following warranties, confirmations and undertakings:

  1. If you request via Investor Centre that an Issuer forward its notice of meeting and/or annual report to you electronically, you are requesting that the Issuer notify you by email containing a URL that the notice of meeting and/or the report is available. You can then click on the URL to access the electronic version of the relevant document.
  2. If you request via Investor Centre that an Issuer send statements to you electronically, it is acknowledged and agreed that each of the following statements will be sent to you electronically and none of them will be mailed to you in paper form:
    • any statement that is required by the ASX Listing Rules or the ASX Settlement Operating Rules, to be given to provide details of movements in your security holding;
    • if a dividend or distribution payment is directly credited to a bank, credit union or building society account, the statement detailing the amount paid and any other information that may be required to be provided; and
    • if you elect to participate in any dividend or distribution reinvestment plan offered by an Issuer, any statement sent to you required by the rules of the plan.
  3. When you use Investor Centre in respect of a security holding, you warrant that you are either the security holder or that you have been duly authorised by the security holder to act on their behalf in using Investor Centre and in performing any action or transaction on Investor Centre.

    You also agree to indemnify Computershare from all liabilities (whether actual, contingent or prospective and whether liquidated or sounding only in damages), losses, damages, costs and expenses (including legal expenses on a full indemnity basis) of whatever description which Computershare suffers or incurs by reason of a breach of the above warranty.

  4. When you use Investor Centre in respect of a security holding that is in joint names, you warrant that you are:
    • one of the named joint holders and that you have obtained the consent of all of the other joint holders to act on their behalf in respect of the security-holding in using Investor Centre and in performing any action or transaction on Investor Centre; or
    • not one of the named joint holders, but you have been authorised by all of the joint holders to act on their behalf in respect of the security-holding in using Investor Centre and in performing any action or transaction on Investor Centre.

    You also agree to indemnify Computershare from all liabilities (whether actual, contingent or prospective and whether liquidated or sounding only in damages), losses, damages, costs and expenses (including legal expenses on a full indemnity basis) of whatever description which Computershare suffers or incurs by reason of a breach of the above warranty.

  5. When you use Investor Centre in respect of a security holding that is in the name of a company, you warrant that you have been duly authorised by the directors of that company to act on its behalf and you also agree to indemnify Computershare from all liabilities (whether actual, contingent or prospective and whether liquidated or sounding only in damages), losses, damages, costs and expenses (including legal expenses on a full indemnity basis) of whatever description which Computershare suffers or incurs by reason of a breach of the above warranty.
  6. If you use Investor Centre to give an instruction regarding a DRP operated by an Issuer you confirm and warrant to us that the instruction is a valid and proper instruction from you.
  7. You are solely responsible for the use you choose to make of the information on Investor Centre. Further, you accept liability for all losses, damages, costs and other consequences resulting directly or indirectly from your use of the Investor Centre.
  8. You acknowledge that the Investor Centre site may be unavailable at any time without notice.
  9. You have read and understood these terms and conditions and you agree to be bound by them.

Interpretation, Validity and Governing Law

Headings are for convenience only and do not affect interpretation.

The singular includes the plural and vice versa.

In the event that any part of these terms and conditions is not legally enforceable, the remaining terms and conditions shall not be affected and shall remain valid and enforceable.

These terms and conditions shall be governed by and construed in accordance with the law applicable in Victoria. You agree that in the event of a dispute the courts of Victoria shall have jurisdiction.
